Marketplace Seller Agreement
Effective date: March 12, 2026
1. Agreement scope
This agreement applies to any person or farm that creates, manages, or publishes listings in the Triple 5 Farms livestock marketplace.
By creating a seller profile, submitting listings, or using seller tools, you agree to this agreement, the Terms of Service, Listing Rules and Standards, and related platform policies.
2. Seller role and legal responsibility
You are the legal seller for your listings. You are solely responsible for:
- ownership or legal authority to sell listed animals;
- lawful marketing and transfer practices;
- truthful listing details;
- disclosures related to health, temperament, breeding, and handling;
- transaction decisions, pickup/transfer logistics, and post-sale outcomes.
3. Platform role
Triple 5 Farms provides listing and communication infrastructure only. Triple 5 Farms does not certify, inspect, own, warehouse, transport, or guarantee animals listed by private-party sellers unless explicitly marked as direct Triple 5 inventory.
4. Listing quality requirements
You agree to provide complete and current listing details, including practical notes buyers need for due diligence. You agree not to publish deceptive price signals, false health claims, or material omissions that could mislead buyers.
Listings may be returned for revision, unpublished, or rejected when quality or policy requirements are not met.
5. Communication standards
You agree to respond to buyer inquiries in good faith, avoid harassment or spam, and keep communications factual. Triple 5 Farms may monitor platform communication signals for abuse prevention and operational quality.
6. Fees and operational controls
If seller fees, featured options, or renewal pricing are enabled, you agree to the posted fee schedule. Payment may be processed through manual verification workflows. Triple 5 Farms may suspend publication or seller access for unpaid or disputed account states.
7. Prohibited behavior
You may not:
- list prohibited animals or unlawful offers;
- impersonate another seller or farm;
- manipulate listing visibility through spam or duplicate abuse;
- submit fraudulent records, fake documents, or fabricated registry claims;
- use the marketplace for unrelated schemes.
8. Suspension and termination
Triple 5 Farms may restrict, suspend, or terminate seller access for policy violations, fraud indicators, legal risk, repeated low-quality submissions, or abusive conduct. Suspension may occur without advance notice when immediate risk controls are needed.
9. Records, retention, and auditability
Deletion requests are processed under platform retention policy. Certain records may remain archived for safety, fraud, accounting, policy enforcement, legal hold, or dispute response purposes.
10. Indemnification
You agree to indemnify and hold harmless Triple 5 Farms and related parties from claims or losses arising from your listings, communications, conduct, sales, legal noncompliance, or policy violations.
11. Warranty disclaimer and risk allocation
You understand that listing publication does not create a warranty by Triple 5 Farms. Transaction risk between buyer and seller remains with the parties to that transaction.
12. Arbitration and governing law
Disputes related to this agreement are subject to individual binding arbitration, with Tennessee law governing unless applicable law requires otherwise.
13. Contact and updates
Policy updates are effective when posted. Continued seller activity after updates constitutes acceptance.
